1. Acceptance of Terms

By accessing or using the services provided by Handoff Labs AI ("Company", "we", "us", or "our"), a Limited Liability Company registered in the State of Georgia, you agree to be bound by these Terms of Service. If you do not agree, do not use our services. Your continued use of the service constitutes your meaningful acceptance of these terms.

2. Eligibility & COPPA Compliance

Our services are intended for use by schools, districts, and educators. We comply with the Children's Online Privacy Protection Act (COPPA). If you are a student under 13, you may only use the services with the consent of your school or parent/guardian. By using the Service, you represent and warrant that you have the legal capacity to enter into these Terms.

3. Account Registration & Security

You may be required to register for an account. You agree to keep your password confidential and will be responsible for obtaining and maintaining all equipment and services needed for access to and use of the Service. You are responsible for all activity on your account.

4. Services & AI Disclaimer

  • AI Limitations: Our services utilize Artificial Intelligence (AI). While we strive to ensure our AI responds ethically and morally, we cannot guarantee the accuracy, safety, or appropriateness of every AI-generated response. You acknowledge that AI outputs may vary and you use them at your own risk.
  • Multilingual Support: Our primary language is English. While we strive to support multiple languages, we make no guarantees regarding the accuracy or quality of translations or non-English content.
  • Accessibility: We strive to meet WCAG 2.1 AA standards for accessibility. However, we cannot guarantee 100% compliance at all times. If you encounter barriers, please contact us.

5. Intellectual Property Rights

Using our Service does not give you ownership of any intellectual property rights in our Service or the content you access. The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Handoff Labs AI and its licensors.

6. User Content & Data Usage

  • Ownership:You retain full ownership of any data, text, Student Data, or other materials ("User Content") you submit to the Service. We do not claim ownership over your content.
  • Limited License: You grant us a limited, non-exclusive license to access and process your User Content solely for the purpose of providing and improving the Service.
  • Data Retention: We are committed to security and data minimization. Raw User Content (such as student assignments, chat logs, and homework) is automatically deleted from our systems after a reasonable retention period needed to provide the educational service, or upon your request.
  • Improvement & Analytics: We may use User Content to derive anonymized and aggregated insights and analytics to improve our software and AI models. This derivative data will not contain personally identifiable information and cannot be traced back to individual students or schools.

7. Prohibited Activities

You agree not to use the Service:

  • In any way that violates any applicable national or international law or regulation.
  • To transmit any advertising or promotional material, including any "junk mail", "chain letter," "spam," or any other similar solicitation.
  • To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm the Company or users of the Service or expose them to liability.

8. Subscriptions, Cancellations, & Refunds

  • Cancellation: You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of the current billing period.
  • No Refunds: We do not offer refunds or credits for partial subscription periods.
  • Access: Upon cancellation, you will continue to have access to the service until the end of your current billing cycle.

9. Verification

We may require verification of your identity and affiliation with an educational institution. This may include Google verification, phone number audits, and spam checks. refusal to provide such verification may result in the termination of your account.

10. Disclaimer of Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HANDOFF LABS AI, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, COVER OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, REVENUE, GOODWILL, USE OR CONTENT) HOWEVER CAUSED, UNDER ANY THEORY OF LIABILITY, INCLUDING, WITHOUT LIMITATION, CONTRACT, TORT, WARRANTY, NEGLIGENCE OR OTHERWISE, EVEN IF HANDOFF LABS AI HAS BEEN ADVISED AS TO THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to defend, indemnify, and hold harmless Handoff Labs AI and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and defined following the laws of the State of Georgia, United States. Any dispute arising from these Terms shall be resolved through binding arbitration in the State of Georgia, except that you may assert claims in small claims court if your claims qualify.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
